If I attack my opponent's Gengar SF with Lovely Kiss, and I put enough damage counters to KO Gengar, does my opponent flip for Fainting Spell?

Putting damage counters is not damage, therefore it will avoid Fainting Spell when it places damage counters rather then doing normal damage.
